Job Description: Applied Materials is seeking an experienced, creative and energetic team player to support IP, commercial, and complex transactions, and provide general business counseling, in connection with Applied’s strategic growth plans. This person should be comfortable interacting with business executives, product and development teams, our sales force, our customers, and external collaborators. Participating in internal projects designed to drive continuous process improvement and technology adoption is a critical aspect of the role. This Director level position will report to a Senior Director in the Legal and Compliance Organization.

Key responsibilities include:

  • Providing business and legal advice to business stakeholders.

  • Reviewing, drafting and negotiating broad range of IP, commercial, and complex transactions, including joint development and university research agreements, to achieve desired business objectives.

  • Counseling business/sales team and other stakeholders regarding contract provisions and implications and assessing and mitigating legal/business risks (e.g., indemnifications, liability, etc.).

  • Partnering effectively with other groups in the Law and Compliance Organization to deliver effective and comprehensive legal support to business stakeholders.

  • Actively participating in process and technology projects designed to improve service and efficiency within the Law and Compliance Organization.

Qualifications

Basic Qualifications

  • Juris Doctorate (JD) from an accredited and recognized law school.

  • 10+ years of legal experience with a focus on IP, commercial, and complex transactions.

  • Deep understanding of contract terms relating to creation and allocation of technology and IP rights.

  • Excellent negotiation skills including first-hand experience leading negotiations.

  • Strong written and verbal communication skills necessary to support a global business.

  • Ability to spot compliance and regulatory implications of new businesses.

  • Ability to work collaboratively across organizational boundaries and with a diverse group of colleagues in multiple countries.

  • Ability to travel occasionally.

  • Licensed to practice law in California.

Preferred Qualifications, Skills and Attributes:

  • Work experience in both law firm and in-house corporate legal departments.

  • Degree in engineering or hard sciences, and/or experience in the engineering or semiconductor industry.

  • Experience with intellectual property litigation, invalidity proceedings, and settlements.

  • Experience with contract lifecycle management systems.

  • Interest in technology and AI implementation and adoption in the workplace.

  • Understand how to translate business needs into contract language and creatively resolve business issues.
