Role Overview

Grammarly, now proudly part of Superhuman—the leading AI productivity platform—is seeking a talented Senior Equity Operations Manager to join our dynamic Finance team. This high-impact, individual contributor role is pivotal in scaling our global equity program as we propel into the next chapter of growth. Reporting directly to the VP of Corporate Development and Investor Relations, you'll lead the technical, operational, and compliance aspects of equity management, collaborating closely with Legal, People, Finance, Payroll, and external advisors.

Key Responsibilities

In this role, you'll own the end-to-end execution of our equity operations. Here's what you'll do daily:

  • Administer Superhuman's global equity programs, managing grants, releases, option exercises, cancellations, and terminations with precision.
  • Maintain impeccable equity records in Shareworks, performing regular reconciliations with HRIS, Payroll, and Accounting systems to ensure data integrity.
  • Track and maintain equity transaction data, supporting monthly and quarterly financial close processes while assisting in stock-based compensation (ASC 718) reporting.
  • Prepare comprehensive documentation for SOX compliance, 409A valuations, board approvals, and responses to external audit inquiries.
  • Provide timely and accurate responses to employee and stakeholder equity inquiries, partnering seamlessly with the People team.
  • Oversee relationships with external stock plan administrators, ensuring vendor performance aligns with our standards.
  • Collaborate with Legal on securities law compliance, insider trading policy enforcement, and real-time cap table updates.
  • Work hand-in-hand with Payroll and Finance on tax withholding strategies, international employee mobility, and regulatory reporting.
  • Identify and implement process improvements, developing scalable documentation as we expand globally.
  • Contribute to board materials and lead cross-functional initiatives related to liquidity events, market expansion, and M&A activities.
  • Support secondary share transactions and prepare the company for potential IPO or other liquidity milestones.
  • Monitor compliance across jurisdictions, adapting to evolving global equity regulations.

Qualifications

We're looking for a standout candidate with the following expertise:

  • 4–7 years in equity administration, legal, or finance roles, with hands-on experience in M&A, cap table ops, securities, or tax.
  • CEP Level I certification required; Level II is a strong plus.
  • Advanced Excel/Google Sheets skills; Coda experience highly valued.
  • Deep knowledge of ISOs, NSOs, RSUs, equity taxation, and SEC/global compliance.
  • Proven track record in late-stage financings, stock-based M&A, secondaries, or IPO prep.
  • Hands-on with Shareworks, Carta, or equivalent platforms.
  • Cross-functional collaboration experience across Finance, Legal, HR.

  • Working knowledge of equity compensation plans including ISOs, NSOs, RSUs (experience)
  • Understanding of equity taxation concepts and SEC or global compliance matters (experience)
  • Direct experience supporting late-stage private financings, private-to-private M&A, secondary share transactions, or IPO preparation (experience)
