Key Responsibilities

  • Lead all company secretarial activities for a portfolio of JP Morgan Chase-managed investment trusts, ensuring compliance with regulatory requirements
  • Advise the Board of Directors on governance matters, corporate law, and best practices to support strategic decision-making
  • Prepare and manage agendas, minutes, and documentation for board and committee meetings, including virtual sessions
  • Oversee the maintenance of statutory records, filings with Companies House and the FCA, and ensure timely regulatory disclosures
  • Coordinate with internal teams, external legal advisors, and auditors to mitigate risks and enhance governance frameworks
  • Support investor relations by handling proxy voting, shareholder communications, and annual general meetings
  • Develop and implement policies for board effectiveness, succession planning, and diversity initiatives
  • Monitor changes in legislation and industry standards, providing proactive guidance to senior management
  • Collaborate on special projects such as fund launches, restructurings, or responses to market events

Required Qualifications

  • ICSA qualified or equivalent professional qualification in company secretariat
  • Minimum of 8-10 years of experience in company secretarial roles within asset management or financial services
  • Proven track record managing secretarial functions for investment trusts or similar regulated entities
  • Deep knowledge of UK corporate governance codes, FCA regulations, and Listing Rules
  • Experience leading board meetings and supporting senior executives in decision-making processes
  • Strong understanding of investment trust structures, including closed-end funds and REITs
  • Bachelor's degree in Law, Finance, Business Administration, or a related field
