Key Responsibilities

  • Oversee global company secretarial functions for JP Morgan Chase's Alternative Investments division, ensuring compliance with Luxembourg and international regulations
  • Manage board meetings, prepare agendas, minutes, and resolutions for alternative investment entities
  • Advise senior executives and board members on corporate governance best practices and legal requirements
  • Coordinate the incorporation, maintenance, and dissolution of companies and funds in Luxembourg and other jurisdictions
  • Ensure timely filing of regulatory documents with authorities such as the CSSF and maintain accurate statutory records
  • Support risk assessment and compliance monitoring for alternative investment vehicles
  • Liaise with external legal counsel, auditors, and regulators to facilitate seamless governance operations
  • Develop and implement policies to enhance board effectiveness and corporate ethics within the firm
  • Handle shareholder communications and proxy voting processes for global portfolios

Required Qualifications

  • Bachelor's degree in Law, Business Administration, Finance, or a related field
  • Minimum of 5-7 years of experience in company secretarial or governance roles within the financial services industry
  • In-depth knowledge of Luxembourg corporate law, EU regulations, and international governance standards
  • Proven experience managing board-level activities and compliance for alternative investment vehicles
  • Fluency in English; proficiency in French or German is advantageous
  • Professional certification such as ICSA, STEP, or equivalent in corporate governance

  • Experience working with global alternative investments, including private equity, hedge funds, or real assets
