Key Responsibilities

  • Provide legal advice and support for U.S. Private Bank lending transactions, including loan origination and structuring
  • Draft, review, and negotiate complex loan documents, security agreements, and intercreditor arrangements
  • Advise on regulatory compliance for lending activities under U.S. federal and state laws
  • Collaborate with business teams, including credit officers and relationship managers, to mitigate legal risks
  • Conduct due diligence on borrowers, collateral, and transaction structures
  • Assist in resolving disputes related to lending agreements and workouts
  • Stay abreast of evolving regulations in financial services and implement changes in lending practices
  • Support internal training on lending legal matters for non-legal staff
  • Manage external counsel relationships for specialized lending matters

Required Qualifications

  • J.D. degree from an accredited law school and active membership in good standing with at least one state bar
  • Minimum of 7-10 years of relevant legal experience in lending, commercial banking, or financial services
  • Proven track record advising on complex lending transactions, including secured and unsecured loans
  • Strong understanding of U.S. banking regulations, such as those under the OCC, FDIC, and relevant federal laws
  • Experience in drafting and negotiating loan agreements, credit facilities, and related documentation
  • Ability to manage multiple high-priority matters in a fast-paced environment

Preferred Qualifications

  • Prior experience in private banking or wealth management lending at a major financial institution
  • Knowledge of international lending structures and cross-border transactions
  • Familiarity with ESG considerations in lending practices
  • Advanced degree or certification in finance or banking law
