Position Summary

Key Responsibilities
- Support SEC reporting with Forms 10-K, 10-Q, 8-K, and Section 16 filings.
- Prepare proxy statements, handle shareholder proposals, and Board materials.
- Advise on governance, disclosure laws, and corporate transactions like M&A and investments.
- Manage executive compensation, equity plans, and collaborate with internal teams.
- Conduct legal research, escalate issues, and work with outside counsel.
Required Qualifications
- Juris Doctor from an accredited law school and active law license.
- 3+ years in public company governance, securities, and transactions (financial services experience a plus).
- Strong analytical, writing, and communication skills.
