Position Summary

The Senior Counsel - Workout role in Key Legal’s Workout Group provides expert legal advice to the Specialized Finance group, including the Asset Recovery group (ARG). This position involves hands-on collaboration with experienced workout officers to develop restructuring plans, handle bankruptcy matters, and ensure compliance in high-stakes commercial lending environments. Located at 127 Public Square, Cleveland, Ohio, this full-time role demands a proactive legal partner who can deliver results like top-tier outside counsel.

Key Responsibilities

• Review, modify, and verify commercial loan documents for validity and enforceability.
• Strategize with ARG Relationship Managers on workout solutions, including forbearance agreements, take-out financing, and collateral liquidation.
• Represent KeyBank in bankruptcy proceedings: negotiate with counsel, draft pleadings, and appear in court (in-person and virtually).
• Correct loan document deficiencies and secure borrower amendments.
• Monitor laws, assess risks, and advise on compliance to mitigate enterprise risks.
• Build strong relationships with internal clients, co-workers, and external partners.

Required Qualifications

Education & Experience

• Bachelor’s degree and Juris Doctor from accredited institutions.
• Active membership in state or local bar.
• Minimum 5 years in commercial loan workout and bankruptcy practice (law firms, in-house, or clerkships).
• Strong knowledge of Uniform Commercial Code and Bankruptcy Code.

Tactical Skills & Competencies

• Expertise in negotiating loan documents and motion practice in state, federal, and bankruptcy courts.
• Team collaboration with RMs, outside counsel, and consultants.
