Role Overview: Securities Law & Executive Compensation Expertise
The Corporate, Securities and Governance (CSG) team integrates business insight with legal expertise. As Managing Counsel, you'll specialize in executive and director compensation, engaging directly with the Compensation Committee. - Lead legal oversight of executive equity plans, incentive compensation, and director pay structures.
- Draft Compensation Discussion & Analysis (CD&A) for annual proxy statements.
- Prepare SEC filings including Form 8-Ks for compensation events and Section 16 insider reports.
- Serve as Assistant Secretary, preparing board materials and minutes for Compensation Committee.
- Manage global subsidiary governance to ensure compliance with local regulations.
