Key Responsibilities

In this role, you'll handle end-to-end M&A transactions and corporate matters with precision and foresight. Key responsibilities include:

• Providing expert legal advice on mergers and acquisitions, encompassing transaction structuring, negotiation, due diligence, and seamless execution.
• Managing a broad spectrum of corporate transactional work, including drafting and reviewing complex contracts, establishing joint ventures, and preparing definitive agreements.
• Guiding clients through corporate restructuring, entity formation, and governance to optimize compliance, tax efficiency, and operational success.
• Partnering closely with internal teams, senior partners, and external stakeholders to expedite deal timelines and resolve intricate legal challenges.
• Performing in-depth legal research, drafting opinions, and analyzing precedents to craft customized strategies that align with client goals.
• Cultivating enduring client relationships through proactive communication, professionalism, and a commitment to superior service.
• Staying ahead of regulatory shifts, SEC filings, antitrust considerations, and industry trends to proactively advise on risks and opportunities.

Required Qualifications

To excel as our Associate Attorney M&A, you should possess:

• A Juris Doctor (JD) from an accredited law school and an active Texas Bar license in good standing.
• 3-5+ years of hands-on experience in M&A transactions, corporate law, or related transactional practices at a reputable firm or in-house.
• Demonstrated expertise in deal negotiation, drafting purchase agreements, conducting due diligence, and managing closings.
• Proficiency in legal research tools (e.g., Westlaw, LexisNexis) and Microsoft Office Suite.
• Exceptional analytical, writing, and interpersonal skills with the ability to manage multiple priorities in a fast-paced setting.
