Key Responsibilities
Core Legal Duties
- Commercial Contracts Expertise: Draft, review, negotiate, and interpret complex agreements like MSAs, NDAs, SOWs, engagement letters, data protection agreements, transportation contracts, real estate leases, IT licensing/SaaS agreements, vendor deals, equipment leases, and more.
- Real Estate Mastery: Oversee commercial real estate transactions, negotiating purchase/sale agreements, and liaising with brokers, opposing counsel, lenders, and title companies.
- M&A Support: Contribute to mergers and acquisitions, handling due diligence and transaction-related work.
- Corporate Governance: Prepare and file essential documents including board resolutions, corporate formations, and directorship changes.
Advisory and Compliance Focus
