Key Responsibilities

  • Structure complex financing transactions, including private placements, debt, equity, mezzanine, and sale-leaseback arrangements.
  • Ensure full compliance with securities laws, tax regulations, and other legal requirements in debt and equity restructurings.
  • Draft, review, and negotiate a wide array of transactional documents, such as purchase agreements, financing term sheets, and closing certificates.
  • Provide expert counsel on closely held business formations, restructurings, and tax-efficient planning strategies.
  • Collaborate with cross-functional teams, including tax advisors and external counsel, to deliver comprehensive solutions.
  • Build long-term client relationships by offering proactive business growth advice through M&A and financing expertise.

Required Qualifications

  • 5+ years of post-bar experience in corporate law, with a focus on M&A, corporate finance, and commercial transactions at a reputable firm or in-house.
  • Juris Doctor (JD) from an accredited law school and an active Minnesota Bar license (or eligibility for immediate admission).
