The Corporate Paralegal will handle a diverse array of tasks critical to the corporate practice group. Primary duties include gathering documents from multiple sources such as data rooms, client portals, and internal databases; meticulously organizing and indexing these materials for due diligence; and summarizing key information to aid attorneys in decision-making. You'll prepare a wide range of legal documents, including board resolutions, stock purchase agreements, and confidentiality agreements, along with professional correspondence. Special projects may involve coordinating closings, managing timelines for transactions, and assisting with post-closing integrations. This role demands the ability to juggle multiple deals simultaneously in a high-volume setting, ensuring accuracy under tight deadlines.
Your work directly supports the firm's corporate attorneys, enabling them to focus on strategy while you handle the operational backbone of transactions. Expect to utilize advanced tools like Excel for data tracking, financial modeling support, and compliance checklists.
Candidates must bring at least seven years of hands-on corporate transactional paralegal experience, preferably from a law firm or in-house corporate M&A/private equity environment. A bachelor’s degree is strongly preferred, though a paralegal certificate from an accredited program may suffice for exceptional candidates. Exceptional organizational skills, precise legal writing, and the capacity to manage high-volume workloads without sacrificing detail are non-negotiable. Proficiency in Microsoft Excel is required, alongside broad computer literacy including document management systems like iManage or similar.
