Key Responsibilities

  • Draft and meticulously review corporate governance documents, including board resolutions, stockholder consents, and essential compliance filings to ensure regulatory adherence.
  • Oversee entity formations, dissolutions, qualifications, and registrations across multiple U.S. states and international jurisdictions, while maintaining precise, up-to-date records in legal databases.
  • Conduct comprehensive due diligence for mergers, acquisitions, financings, and joint ventures; prepare detailed transaction summaries, checklists, and coordinate seamless closings.
  • Prepare, negotiate, and review critical documents for real estate transactions, leases, property management, and development projects, prioritizing accuracy and full compliance.
  • Maintain and update legal databases, matter management systems, and contract repositories; facilitate the execution, notarization, and timely filing of all vital documents.
  • Collaborate effectively with outside counsel, title companies, escrow agents, and internal departments like finance, HR, and operations to support cross-functional initiatives.
  • Identify opportunities for process improvements in legal operations, implement efficiency tools, and tackle emerging challenges in a fast-paced corporate setting.
  • Support ad-hoc projects such as equity issuances, IP filings, and vendor contracts, contributing to the broader strategic goals of the organization.

Required Qualifications

To thrive in this Corporate Paralegal position, bring the following:

  • Bachelor's degree, paralegal certificate from an ABA-approved program, or equivalent experience in corporate law.
  • 3-5 years of hands-on experience as a corporate paralegal, ideally in-house or at a law firm handling tech or venture-backed companies.
  • Deep knowledge of Delaware corporate law, UCC filings, and multi-state entity compliance requirements.
