Key Responsibilities

As a Corporate Securities/Financing Attorney, your days will be filled with high-stakes, rewarding work:

  • Represent startups and investors in all stages of equity financings, from seed rounds to Series A/B and beyond, including convertible instruments like SAFEs and notes.
  • Prepare, negotiate, and review essential documents such as term sheets, stock purchase agreements, voting agreements, and investor rights agreements.
  • Navigate securities law compliance, leveraging exemptions under the Securities Act of 1933, Rule 506(b)/(c), and handling state Blue Sky filings.
  • Provide expert counsel on emerging offerings like equity crowdfunding, Regulation A+, Reg D, and Reg CF to help clients access capital efficiently.
  • Lead mergers, acquisitions, and corporate restructurings, managing due diligence processes, drafting definitive agreements, and closing multimillion-dollar deals.
  • Act as outside general counsel, offering guidance on commercial contracts, capitalization table management, equity incentive plans (ISOs/NSOs), and governance matters.

Expect to collaborate with entrepreneurs, VCs, and C-suite executives in a hybrid environment that balances in-office collaboration with remote flexibility.

Required Qualifications

To excel in this role, you should possess:

  • 1-4 years of experience in corporate finance, securities law, or startup-focused legal practice at a law firm, in-house, or similar environment.
  • Demonstrated success working with venture-backed tech startups and growth-stage companies.
  • Juris Doctor (JD) from an accredited law school and active membership in the Washington State Bar Association.
  • Deep knowledge of federal and state securities regulations, venture financing structures, and M&A transactions.
  • Exceptional drafting, negotiation, and analytical skills, with proficiency in cap table software like Carta or Pulley.
  • Strong communication abilities to translate complex legal concepts for non-lawyers.
