About the Role

As the Director of Corporate Governance, you will serve as the cornerstone of the organization's global governance infrastructure. Key Responsibilities

Your leadership will be instrumental in transforming governance from a compliance function into a strategic asset. Key duties include:

• Leading the development and enhancement of the group’s corporate governance framework, policies, and standards for all entities worldwide.
• Overseeing Board and Committee governance to maintain high-quality documentation, accurate records, and robust decision-making processes.
• Providing enterprise-wide oversight for subsidiary governance and statutory compliance, promoting uniformity and adherence globally.
• Maintaining the integrity, accuracy, and transparency of critical corporate data, including directors, shareholders, and Ultimate Beneficial Owner (UBO)/Persons with Significant Control (PSC) records.
• Serving as a trusted advisor to C-suite leaders and the Board on governance matters, emerging regulations, and risk mitigation strategies.
• Managing shareholder and investor relations, including timely reporting and disclosure obligations.
• Acting as the primary point of contact for external audits, regulators, and advisors to deliver seamless coordination and superior results.
• Championing continuous improvements in governance controls, effectiveness, and reporting to fuel the organization’s long-term strategy and expansion.

Required Qualifications

To excel in this role, candidates must bring:

• A Bachelor’s degree in Law, Business Administration, Finance, or a related discipline; a Juris Doctor (JD) or advanced degree is highly preferred.
• Over 10 years of progressive experience in corporate governance, legal compliance, or entity management, ideally within multinational corporations.
• Comprehensive knowledge of global regulatory environments, statutory filings, and compliance standards across key jurisdictions (e.g., US, EU, Asia).
• Demonstrated success in Board governance, policy development, and stakeholder advisory services.
• Exceptional skills in corporate records management, ownership transparency, and risk assessment.
• Superior communication abilities, with proven experience engaging executives, Boards, and external parties.
• Strategic mindset with a track record of driving governance improvements and supporting organizational growth.
