Key Responsibilities

Core Transactional Duties

Your day-to-day will involve advising on private venture investments, M&A transactions, and securities law. You'll draft, review, and negotiate critical documents like stock purchase agreements, merger contracts, and financing instruments. Guiding clients through entity formation—whether LLCs, corporations, or partnerships—and establishing robust corporate governance frameworks will be central to your role.

Strategic Advisory and Compliance

Serving as outside general counsel, you'll deliver tailored legal strategies for investment firms and high-tech innovators. Ensuring all transactions comply with federal and state securities regulations, including SEC filings and exemptions, is non-negotiable. You'll also counsel on private equity and venture capital fund formations, staying ahead of evolving regulations like those from the JOBS Act or recent ESG mandates.

Client Collaboration and Development

Building trust-based relationships with C-suite executives, investors, and entrepreneurs is key. Collaborate to align legal advice with business objectives, monitor legal trends, and adapt strategies accordingly. This role demands proactive communication and a client-first mindset in a fast-paced, dynamic setting.

Required Qualifications

To thrive, candidates need a Juris Doctor (JD) from an accredited law school, an active New York State bar license, and 3-7 years of hands-on experience in transactional law. Expertise in private venture investments, M&A, securities law, contract negotiation, entity formation, and corporate governance is essential. High-tech or investment firm experience is highly preferred. Strong analytical skills, meticulous attention to detail, and the ability to manage multiple high-priority deals are must-haves.
