Role Overview

The Sr. Lead Counsel, Corporate (Remote) is a strategic senior securities lawyer role reporting to the head of CrowdStrike’s corporate legal group. This position plays a pivotal role in securities compliance, proxy season readiness, investor relations, and adapting to evolving regulatory frameworks. Ideal for remote candidates in the United States, with preference for San Francisco Bay Area, Austin, TX, or DC Metro Area. Key Responsibilities

As Sr. Lead Counsel, Corporate, you'll lead critical functions in securities law and stockholder relations:

• Deliver expert guidance on securities compliance under the 1933 Act and 1934 Act, including Forms 10-K, 10-Q, 8-K, Section 16, and S-8 filings.
• Spearhead preparation and review of proxy statements, annual reports, earnings materials, and sustainability reports.
• Facilitate stockholder engagement on sustainability, executive compensation, and governance, partnering with investor relations, HR, and senior legal leaders.
• Manage ties with proxy advisory firms like ISS and Glass Lewis, crafting strategies for their recommendations.
• Oversee annual and special meeting logistics, coordinating with proxy solicitors, financial printers, and transfer agents; advise on director elections, proposals, and activism defense.
• Collaborate cross-functionally with accounting, IR, HR, and communications for consistent disclosure and messaging.

Qualifications & Requirements

To excel in this role, bring a premium blend of experience and acumen:

• J.D. degree from an accredited law school and active membership in good standing of at least one U.S. state bar.
• 10+ years of relevant experience, with 4+ years at a public company or top-tier law firm’s capital markets/public company advisory practice; preferred S&P 500/NASDAQ-100 exposure.
• Deep knowledge of federal securities laws, SEC reporting, state corporate laws, proxy regulations, and sustainability frameworks.
• Proven success in investor engagements, proxy cycles, and complex stockholder interactions.
• Exceptional communication, judgment, diplomacy, and leadership skills for executive interactions and team mentoring.

Preferred Experience

Track record navigating proxy seasons, managing institutional investors, and balancing legal risks with business imperatives in a fast-paced tech environment.
