**About the Role**

We are currently searching for a Counsel, M&A. This is an extraordinary opportunity to work on groundbreaking issues in an exciting, fast-paced environment. You'll partner closely with Uber’s Corporate Development team and other legal and non-legal cross-functional teams on domestic and cross-border M&A, joint ventures, investments and other strategic transactions from NDA through post-closing integration. This position reports to the Sr. Director, M&A Legal, and is based in San Francisco or New York.

**What You’ll Do**

- Manage, structure and negotiate strategic transactions globally.
- Be an active and trusted business partner, and collaboratively with teams to deliver clear, strategic legal advice in a fast-moving environment.
- Provide critical and proactive legal and strategic feedback on a wide range of sophisticated and strategic issues. It's our job to peer around corners for the business and ensure that we are well-positioned for the future.
- Draft, review and negotiate agreements at all stages of the transaction lifecycle, including NDAs, term sheets, definitive acquisition and other transaction agreement.
- Help develop and implement standardized processes and templates with an eye towards improving efficiency.

**Basic Qualifications**

- Minimum 5+ years of diverse M&A, capital markets, corporate governance, and securities law/public company reporting experience in private practice and/or in-house, OR Minimum 4+ years and +1 year Uber internal experience
- J.D. and license to practice law in at least one state

For New York, NY-based roles: The base salary range for this role is USD$208,000 per year - USD$231,000 per year.

For San Francisco, CA-based roles: The base salary range for this role is USD$208,000 per year - USD$231,000 per year.

For all US locations, you will be eligible to participate in Uber's bonus program, and may be offered an equity award & other types of comp. You will also be eligible for various benefits.
