As Senior Commercial Counsel at Veriff, you'll be the legal backbone for our Sales, Marketing, Customer Success, Business Operations, and Go-To-Market teams. Key Responsibilities

• Draft, review, and negotiate a wide array of commercial agreements supporting customer sales, supplier software purchases, and growth partnerships with startups and public companies.
• Focus primarily on service subscription agreements, software licenses, data processing agreements (DPAs), and non-disclosure agreements (NDAs).
• Leverage experience from hundreds or thousands of transactions to define optimal business terms and structure deals efficiently.
• Advise cross-functional teams on intellectual property rights, data privacy regulations, data security protocols, software licensing, and legal aspects of go-to-market strategies.
• Contribute to organizational scaling by providing input on processes, policies, and efficiency improvements for the legal team.
• Monitor and stay abreast of evolving laws and regulations in commercial contracts, open source licensing, IP, AI ethics, privacy (GDPR/CCPA), employment, and AML/KYC frameworks.
• Develop internal company expertise in specialized areas like intellectual property protection, data protection mechanisms, anti-money laundering (AML), know-your-customer (KYC), and other regulatory compliance matters.
• Operate autonomously to deliver practical, decisive legal guidance that aligns business objectives with risk management, adhering to Veriff's policies and negotiation stances.
• Collaborate closely with Sales and GTM teams to negotiate DPAs and service agreements with prospective customers in regulated sectors.
• Build and refine agreement templates and negotiation playbooks to streamline high-volume deal closures.
• Support enterprise negotiations with large clients in financial services, healthcare, government, and education sectors.
• Ensure all legal outputs—from contracts to Slack communications—are clear, concise, and accessible to non-legal stakeholders.

Qualifications

To succeed as our Senior Commercial Counsel, you need:

• 8+ years of hands-on experience in diverse commercial transactions, including strategic alliances, SaaS deals, IP/software licensing, product resale/distribution, contractor agreements, outsourcing, and facilities contracts.
• Demonstrated success negotiating with enterprise clients, regulated industries (fintech, healthcare), government entities, and educational institutions.
• Juris Doctor (JD) degree required, with active Bar admission in good standing in at least one US state.
• Strong proficiency in negotiating data processing agreements, with deep knowledge of GDPR, CCPA, and emerging US state privacy laws in commercial contexts.
• Exceptional drafting skills producing clean, concise documents, policies, emails, and messages understandable by non-lawyers.
• Proven track record as a confident, positive negotiator who leads enterprise deals, prioritizes critical terms, and closes favorably.
• Ability to thrive in a dynamic start/scale-up environment with constant change and expansion.
• Familiarity with IP, data privacy/security, software licensing, AI regulations, open source, and AML/KYC preferred.
